- What is Todd Marina?
- Todd Marina is the name commonly applied to the real estate located at 7559 E. Rush Ridge Fork, consisting of 2.4 acres of land and associated improvements - garages, walkways, gangways, docks, entry road, etc. From the perspective of the Indiana Department of Natural Resources ("IDNR"), it is also known as the J-15 Group Boat Dock on Monroe Lake.
- Who owns Todd Marina?
- It is owned in common by Todd Marine Association, Inc. and the 50 Members of Todd Marine Association, Inc. The Members individually own 1/100th undivided interests in Todd Marina; collectively the Members own a 50/100th undivided interest. The other 50/100ths undivided ownership interest is held by Todd Marine Association, Inc. Each owner's interest is evidenced by a deed recorded in the Monroe County Recorder's Office.

- TMA is the Indiana non-profit mutual benefit corporation that serves as the membership organization for the 50 slip holders at Todd Marina. It exists to benefit its Members.

- How is TMA managed?
- The affairs of TMA are managed by Jamar Property Management, in collaboration with its volunteer Board of Directors, consisting of Members only, elected by their fellow Members in annual member meetings. The TMA Code of By-Laws lays out the various responsibilities of the Board and the Members to ensure a properly functioning organization that benefits all members.

- What is the TMA Code of By-Laws document?
- Todd Marine Association Inc.'s activities are governed by the TMA Code of By-Laws ("By-Laws"). The By-Laws have detailed sections on Member Rights and Responsibilities, Board of Directors Responsibilities, Budgets and Assessments, Amendments to the By-Laws, etc. The By-Laws and any amendments thereto must be approved by at least 2/3rds of the Members voting at a Member meeting.
- What is the TMA Rules and Regulations document?
- The TMA Rules and Regulations ("Rules") lists the more detailed rules applicable to Members as necessary and appropriate for the safe and efficient operation and governance of the Corporation and Todd Marina, including as applicable, reflecting the rules and regulations promulgated by the Indiana Department of Natural Resources ("IDNR") and the U.S. Army Corps of Engineers ("USACE"). The Rules and Regs and any amendments thereto must be approved bya majority of the Members voting at a Member meeting.
- What is the TMA Membership Agreement?
- The TMA Membership Agreement is an agreement between the Members and TMA regarding the respective rights, privileges, responsibilities, and obligations of the two parties. Once executed by TMA, the Member is granted an exclusive right for use of a designated boat slip in Todd Marina. The language of the TMA Membership Agreement and any amendments thereto must be approved by at least 2/3rds of the Members voting at a Member meeting.
- What if a TMA Member fails to comply with the By-Laws, Rules and Regulations, or the Membership Agreement?
- The Code of By-Laws contains Member Not in Good Standing ("MNIGS") procedures that can be initiated by the Board of Directors for a Member who has refused to comply with the Member requirements. If the MNIGS procedure does not result in a remedy by the Member, the Code of By-Laws also provides that for especially agregious violations, Termination procedures my be initiated, which could result in the termination of Member's membership and the sale of the terminated Member's ownership interest in Todd Marina to a Replacement Member.

- What are the prerequisites for membership in Todd Marina?
- Prerequisites for TMA membership are: (1) Member must have acquired a common ownership interest in Todd Marina as evidenced by an executed TMA Slip Transfer Authorization Form, (2) Member must have provided TMA with a fully completed, signed and notarized DNR Affidavit of Land Ownership, (3) Member must have provided TMA with a signed and notarized TMA Reconveyance Quitclaim Deed, and (4) Member must have signed a TMA Membership Agreement.
- How is a common ownership in Todd Marina evidenced?
- The Member must have purchased a common ownership interest in Todd Marina via the TMA Slip Transfer Process with such purchase evidenced by a TMA Grantor Quitclaim Deed being issued to Buyer by TMA at closing and subsequently being recorded by TMA in the Monroe County, Indiana Recorder's office.
- Why do I need a signed and notarized IDNR Affidavit of Land Ownership?
- The IDNR regulations require each person with a slip at Todd Marina (J-15) to have a common ownership interest in land adjacent to the group boat dock and managed by a corporation. The DNR Affidavit is the way Members certify to the IDNR that they have such ownership interest in land managed by the TMA corporation.
- What is the TMA Reconveyance Quitclaim Deed?
- The TMA Reconveyance Quitclaim Deed is a "conditional" deed held by TMA during Member's membership to be used under two conditions only: (a) when a Todd Marina ownership transfer is authorized by a Selling member, or (b) upon termination of Member's TMA membership due to egregious violations of TMA member requirements.
- (a)Per its Code of By-Laws TMA, and only TMA, mediates each and every sale of Todd Marina ownership from one Member to another. In this case, only when authorized by the Seller may TMA record the Seller's TMA Reconveyance Quitclaim Deed. Thereafter, TMA grants Buyer a TMA Grantor Quitclaim Deed completing the sale transaction.
- (b) If a Member fails to remedy an egregious violation of TMA member requirements, as detailed in the TMA Code of By-Laws, TMA may after due process terminate Member's membership in TMA. Thereafter, TMA may sell Member's ownership interest at then market values, with any net proceeds being distributed to the Terminated Member. The Terminated Member's TMA Reconveyance Quitclaim Deed would then be recorded and a TMA Grantor Quitclaim Deed would be issued to the Replacement Member.
- Describe the purpose of the TMA Membership Agreement?
- The TMA Membership Agreement is a necessary agreement between the Member and TMA detailing the respective rights, privileges, responsibilities, and obligations of the two parties. Only when the Member has met all prerequisites is a Membership Agreement executed by a TMA official, thereby granting the Member an exclusive right to a designated boat slip in Todd Marina. In return, the Member agrees to abide by the TMA member requirements, including in particular all provisions of its Code of By-Laws.
- What are the prerequisites for membership in Todd Marina?
- Annual Mooring Permit Process
- What is the process for obtaining a Mooring Permit for a Member boat to be moored in Todd Marina?
- Each year around March 1st, TMA will send each Member an annual assessment communication containing a bill for the year's dues along with instructions for obtaining an annual Mooring Permit. A due date (about 30 days) will also be specified. The Member will need to mail to the TMA P.O. Box by the due date the required payment, a copy of the current watercraft registration, and proof of adequate insurance on the watercraft.
- What does TMA do with these documents?
- TMA will record the receipt of the mailed information and check to be sure everything is received and complete. The payments will need to be in full. The watercraft registration and insurance coverage will need to be in the same name as the name on the Member's recorded deed and affidavit filed with the DNR. And the copy of the Proof of Insurance will be checked to be sure it covers Member's moored watercraft, is in effect, and meets the TMA required minimum coverage amounts - currently $300,000 for property and personal injury.
- And if everything is received and checks out?
- Then the Watercraft registrations are collected, and just a few days after the specified due date, they are all taken to the DNR office at Paynetown for processing. The DNR will also check registration vs. Affidavit names. DNR will provide to TMA the Mooring Permits for those boats that check out. Each permit is specifically numbered for a given boat.
- When is the Mooring Permit applied to the Member's boat?
- Shortly after the Mooring Permits are obtained, TMA will apply them to the Member's boat. If the Member's boat is not yet moored, the Mooring Permit will be held until the boat is moored.
- What if my registration or insurance changes after the due date?
- Submit that information to the TMA Post Office Box and TMA will provide the new information to the DNR to update its records.
- Would the Mooring Permit ever be removed from the Member's boat?
- That would only happen if the Member is designated by the TMA Board as a Member Not in Good Standing. One of the allowed sanctions is the withdrawal of the Mooring Permit.

- Who owns and manages Monroe Lake?
- The U.S. Army Corp of Engineers ("USACE") owns Monroe Lake, which was built in the 1960s for flood control and water supply. The Indiana Department of Natural Resources ("IDNR") manages Monroe Lake for the USACE through an operating agreement.
- Why is Todd Marina allowed to maintain its docks on the public waters of Monroe Lake?
- The USACE and IDNR regulations allow a limited number of group boat docks on the lake, each with a specified number of boat slips allowed. Todd Marina is fortunate to be one of the approved group boat docks, labeled J-15. Each of the group boat docks, and the number of boat slips allowed in each, are set forth in the Indiana Administrative Code at IAC312.8.4 The manager of a group boat dock must comply completely with the specified regulations.
- What Must Todd Marina do to maintain its docks on Monroe Lake?
- Each year, Todd Marina, through its owner, Todd Marine Association, Inc. ("TMA"), must re-apply for its IDNR Permit allowing it to remain on Monroe Lake. TMA submits its application, pays a permit fee, provides bond insurance, and agrees to be bound by the DNR regulations. The IDNR then issues a Permit for the year. Periodically, Todd Marina must also renew its licence for easement with the USACE. TMA received it's latest USACE License update in 2019 (valid through 2032).
- Why do I need to sign a DNR Affidavit of Land Ownership?
- The IDNR regulations require each person with a slip at Todd Marina (J-15) to have a common ownership in land adjacent to the group boat dock and managed by a corporation. The DNR Affidavit is the way members certify to the IDNR that they have have such ownership interest in land managed by TMA.
- Why do I need to have a Mooring Permit on my boat?
- The IDNR requires all boats moored in a Group Boat Dock on Monroe Lake to have a Mooring Permit issued annually. At the start of each boating season, the IDNR requires the group boat dock manager to provide them with current watercraft registrations for the boats to be moored in the dock. DNR requires the registrations to be issued in the same name as the Affidavit signer, consistent with the regulations.
- Why do I also need a Lake Permit on my boat?
- Per the IDNR, any boat that is launched on a state lake must have a Lake Permit. A Lake Permit is a requirement for all boats launched on Monroe Lake, not just those moored in a group boat dock like Todd Marina. TMA willnot apply a Mooring Permit on a watercraft until it has a Lake Permit attached already.
- How do the USACE and IDNR check Todd Marina for compliance with their regulations?
- Each year the USACE and IDNR perform an inspection of Todd Marina, to be sure that it is complying with all of the group boat dock requirements. An inspection report is then issued citing all areas of non-compliance. TMA is required to follow-up on all non-compliance items within the time specified and to provide a written response. TMA takes that process very seriously and makes sure that it and its Members comply with the neccesary requirements.
